These Terms and Conditions (“Terms”) govern your access to and use of our SaaS products, services, and applications offered on or through our Platform. This shall hereinafter be referred to as the “Agreement,” provided to you (“Customer”) by uExcelerate.

Kindly read the terms and conditions before using the Platform. By accessing, browsing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these terms and conditions, you are prohibited from accessing or using the services.

By using the platform, users agree to comply with this Terms and Conditions as it may be updated and posted on the platform from time to time. You are responsible for periodically reviewing these terms, and your continued use of the services after any updates are made and posted will signify your acceptance of those changes.

You are expected to use the services with caution, prudence, and sound judgment. Any attempt to breach or compromise the security of the services is strictly forbidden. Such actions could lead to criminal or civil penalties against you.

Eligibility

By accessing the Platform, you confirm that you are at least 18 years old and possess the legal right, authority, and ability to agree to these terms and conditions, and to comply with them. If you are accessing or using the Platform on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms. Any rights not explicitly granted in this Agreement are retained by uExcelerate.

Account Registration

To access certain features, you may be required to create an account. You agree to:

a) Provide accurate and complete information,

b) Maintain the confidentiality of your login credentials,

c) Notify us immediately of any unauthorized use of your account.

You shall be solely responsible for all activity that occurs on your Account and you shall notify us immediately of any breach of security or any unauthorized use of your Account. You hereby expressly acknowledge and agree that you yourself and not Company will be liable for your losses, damages etc. (whether direct or indirect) caused by an unauthorized use of your Account. Notwithstanding the foregoing, you may be liable for the losses of Company or others due to such unauthorized use.

Use of Services

uExcelerate provides access to leadership development tools, coaching sessions, content, assessments, and related features through a subscription model. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

 You as a user acknowledge and agree to comply following conditions:

• You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, nor shall you copy the Software except as expressly permitted under this Agreement.
• You will provide true, accurate, current and complete information when creating your Account and you shall maintain and update such information during the term of this Agreement.
• You shall not resell, lease, or sublicense the Service, and you shall not permit any third party to do so without the Company’s prior written consent.
•  You shall not use the Platform to transmit, upload, or otherwise make available any content that is harmful, unlawful, defamatory, obscene, or otherwise objectionable.
• You shall not violate or infringe upon the intellectual property rights, privacy rights, or other proprietary rights of any third party in your use of the Platform.

Subscription & Payments

Access to certain features may require payment of subscription fees. By subscribing, you agree to pay all applicable fees and taxes in accordance with our pricing and billing policies. Subscription fees are non-refundable unless otherwise stated.

We reserve the right to change our pricing at any time. Any price changes will take effect after providing prior notice to you.

Intellectual Property

All content and services on the Platform, including without limitation text, software, logos, designs, graphics, videos, trademarks, copyrights, patents, trade secrets, and other proprietary materials, are and shall remain the exclusive intellectual property of uExcelerate or its licensors. 

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with these Terms. Any unauthorized use, reproduction, distribution, or modification of uExcelerate’s intellectual property is strictly prohibited and may result in immediate suspension or termination of your account, as well as civil and/or criminal liability under applicable law.

User Content

You retain ownership of any content you upload or submit through the Platform (“User Content”). By submitting User Content, you grant uExcelerate a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and display such content solely for the purpose of providing services.

Confidentiality and Data Privacy

As an authorized user of the services, you are fully responsible for keeping your account information confidential. If you become aware of any unauthorised use of your account or any potential security breaches, including loss, theft, or unauthorised disclosure of your own or anyone else’s account information, you must notify us immediately. You are also entirely responsible for all activities that occur under your account. uExcelerate will not be liable for any losses you may suffer as a result of someone else using your account, whether or not you are aware of it. Additionally, you may be held accountable for any damages incurred by uExcelerate, its affiliates, officers, directors, employees, consultants, agents, and representatives due to another individual’s use of your account.

Third-Party Services

The Platform may contain integrations with third-party services or coaches. We are not responsible for the content, functionality, or accuracy of these third-party services and disclaim all liability arising from your use thereof. Users acknowledge that their interactions with such third-party services are governed by the terms and conditions of those providers, and uExcelerate shall not be liable for any issues arising from the use of these tools. 

Termination

We reserve the right to suspend or terminate your account or access to the Platform if you violate these Terms, misuse the services, or fail to pay applicable fees. Upon termination, all licenses and access rights granted to you shall cease.

Disclaimer of Warranties

The Platform provided by us are made available on an “as is” basis without any warranties, representations, or conditions of any kind, whether express, implied, or statutory, including, without limitation, warranties or conditions of satisfactory quality, fitness for a particular purpose, merchantability, non-infringement, accuracy, or compliance with any description. We do not endorse, verify, or assume responsibility for any data posted on the Platform, and we make no guarantee as to its accuracy, completeness, or correctness. We are not responsible for, and have no obligation to monitor, the use of the services or to remove content that may be offensive, indecent, objectionable, harmful, inaccurate, contain viruses, or include technical or typographical errors. We disclaim responsibility for the actions, omissions, or information of customers or third parties and have no obligation to control such actions. Our services may contain links to or provide access to third-party websites or content; we have no control over, and accept no responsibility for, the authenticity, accuracy, quality, copyright compliance, legality, or any other aspect of such content. You acknowledge and agree that we shall not be liable for any loss, damage, or claim arising directly or indirectly from access to, or use of, any such data, information, or third-party content.

Limitation of Liability

To the fullest extent permitted by law, we, our subsidiaries, affiliates, officers, directors, agents, employees, and licensors shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages, including lost profits, lost data, goodwill, or other intangible losses, arising from, related to, or in any way connected with your use of, or inability to use, the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless us, our subsidiaries, affiliates, officers, directors, agents, employees, and licensors from any and all claims, costs, damages, and expenses, including reasonable attorneys' fees, that arise from or relate to any claim made against us by a third party due to your breach of these terms, violation of any laws, or infringement of the rights of a third party. This includes, but is not limited to, any infringement of intellectual property or other rights belonging to any individual or entity.

Modifications to Terms

We may update or modify these Terms from time to time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms. 

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. All disputes arising out of or related to this agreement will be subject to the exclusive jurisdiction of the courts of Telangana or as agreed by the parties in an event of dispute.
